| Abstract | Corporate governance is fairly a new issue in Thailand. The financial crisis in 1997 has
then be a major driver for the promotion and implementation of better governance
practices. But family firms accounts for a major part of the corporate landscape in
Thailand. This research aims at describing and analyzing the obstacles and challenges to
implement governance practices within the Thai listed family companies. This study will
show through a case study of the Lamsam family group to what extent the specific
characteristics of Thai family firms are a major obstacle. Then the study describes and
analyzes the level of development of national policies regarding governance practices to
explain than major improvement are required to improve the firm governance standards.
Thirdly the research focuses on the institutional environment comprised of the financing,
legal and political structures and the weaknesses of external control such as auditing
committees to explain the persistence of bad governance practices within the family
firms. Finally the study suggests some more recommendations aiming at improving in the
long and short term the governance standards in the family firms in Thailand. |
